Seller Agreement and Terms of Service

These Terms govern approved businesses and individuals (“Seller,” “you,” or “your”) using Seller.ZeeBooth.com and related services operated by [LEGAL ENTITY NAME] (“ZeeBooth,” “Platform,” “we,” “us,” or “our”).

1. Nature of the ZeeBooth Seller Network

ZeeBooth operates a commerce-management and seller-network platform for approved independent Sellers to submit catalogs, receive assigned orders, arrange fulfillment, report tracking and returns, and maintain operational and financial records. The beta may combine manual and CSV workflows with a limited, optional Amazon Multi-Channel Fulfillment integration. A feature is available only when the Platform displays it as enabled.

2. Eligibility and Seller approval

Registration does not authorize participation. Application, requested verification, administrative approval, and continued compliance are required. ZeeBooth may approve, reject, restrict, suspend, or terminate participation under this Agreement. Seller must provide truthful, current, accurate, and complete information and have legal capacity to contract. Eligibility rules may differ for Amazon-sourced and Non-Amazon-sourced products.

3. United States stock requirement for Non-Amazon products

During this beta, every Non-Amazon-sourced product submitted by a Non-Amazon or Hybrid Seller must already be physically stocked in the United States, ship to customers from a U.S. fulfillment location, and have a U.S. return location. Manufacturing or purchasing outside the United States is not prohibited, but direct-to-customer shipment from another country is not accepted. Seller must keep this certification accurate, provide reasonable evidence on request, and stop offering affected products before any unit ceases to qualify. ZeeBooth may change this geographic policy prospectively in a later version after notice and any required renewed acceptance.

4. Electronic acceptance

Submitting an application, checking the acceptance box, clicking an agreement or activation control, uploading a product, accepting an order, connecting an account, or using the Platform after approval constitutes electronic acceptance where legally permitted. A person acting for an entity represents authority to bind it. ZeeBooth records the seller account, agreement version, timestamp, accepting user, acceptance action, and, where appropriate, IP address.

5. Seller Content License and Authorization to Market and Sell Products

By uploading, importing, synchronizing, or otherwise providing a product or Seller Content, Seller authorizes ZeeBooth and its designated storefronts, affiliates, sales channels, marketplace accounts, and commerce properties to display, advertise, market, promote, publish, offer for sale, process customer orders for, resell or facilitate the sale of, and distribute information about approved products for operation of the network. This authorization applies during the term, subject to this Agreement and applicable law.

6. License to Seller Content

Seller grants ZeeBooth a non-exclusive, worldwide, royalty-free, fully paid-up, and sublicensable license, transferable as reasonably necessary to operate the service, to host, store, reproduce, display, publish, distribute, transmit, format, resize, crop, convert, adapt, organize, syndicate, advertise, market, and otherwise use Seller Content across ZeeBooth-operated or affiliated storefronts, subdomains, marketplaces, shopping and social-commerce channels, advertising platforms, search engines, feeds, email, social media, promotions, and customer communications. Seller Content includes images, video, graphics, logos, titles, descriptions, specifications, features, SKUs, identifiers, dimensions, technical information, manuals, metadata, attributes, and catalog or marketing data. Separate approval is not required for each permitted syndication. Ownership remains with Seller or its licensors.

7. Seller ownership and intellectual-property warranty

Seller represents and warrants that it owns or holds every license, permission, distribution or resale right, manufacturer or supplier authorization, intellectual-property right, and other authority needed to provide each product and item of Seller Content and grant these rights. ZeeBooth's permitted use and sale must not infringe copyright, trademark, patent, design, trade dress, privacy, publicity, contractual, licensing, distribution, or other third-party rights. Administrative review is not independent verification; Seller remains responsible.

8. No unauthorized product listings

Seller must not offer goods it may not lawfully sell, counterfeit goods, stolen or recalled goods, unsafe or prohibited products, replicas represented as authentic, goods subject to unmet restrictions, or content used without permission. Seller must immediately notify ZeeBooth and remove affected listings upon learning of an intellectual-property, safety, authenticity, or regulatory issue.

9. Intellectual-property claims and DMCA

ZeeBooth may remove or disable content, suspend accounts, preserve records, request invoices, licenses or manufacturer authorization, and cooperate with legitimate rights holders and legally valid requests. Seller must promptly assist. ZeeBooth may terminate repeat infringers. Copyright notices must satisfy applicable law and be sent to [DMCA AGENT NAME AND ADDRESS].

10. Seller indemnification

To the extent permitted by law, Seller will defend, indemnify, and hold harmless [LEGAL ENTITY NAME], its affiliates, owners, directors, personnel, agents, service providers, and storefront operators from third-party claims and reasonable costs arising from Seller products or fulfillment, defects or injury, infringement, unauthorized content, inaccurate claims, recalls, counterfeit goods, taxes, regulatory violations, unauthorized resale, or Seller's breach. ZeeBooth will provide reasonable notice and cooperation. This section requires attorney review.

11. Product catalog requirements

Seller must keep SKU, title, description, source and list price, any lawful maximum price, inventory, imagery, sourcing type, brand, manufacturer, model, dimensions, weight, condition, and compliance information accurate and current. ZeeBooth may reject, standardize, categorize, correct formatting, or remove listings.

12. Modification of product content

ZeeBooth may resize or crop images, optimize formats, correct obvious formatting, shorten or restructure titles, format descriptions, assign categories, create channel-compatible feeds and SEO metadata, and adapt content to channel rules. ZeeBooth will not intentionally make materially false product representations.

13. Pricing

Seller Source Price, Retail or List Price, lawful Maximum Price, Customer Selling Price, fees, fulfillment charges, adjustments, and promotions are distinct amounts. Where the commercial arrangement permits, ZeeBooth may determine the final customer price. Any pricing restriction remains subject to applicable competition law; nothing requires unlawful resale-price control.

14. Inventory

Seller must maintain accurate, fulfillable inventory. Data may arrive through seller entry, CSV, an authorized Amazon API, Amazon FBA, a U.S. warehouse, or a U.S. 3PL and may not be real-time. Non-Amazon and Hybrid Sellers must not count inventory located outside the United States as available Non-Amazon inventory. Seller remains responsible for availability, location accuracy, and timely correction.

15. Amazon FBA and MCF API beta

Where enabled, an Amazon or Hybrid Seller may connect an eligible Seller Central account through Amazon's approved OAuth authorization flow. ZeeBooth does not request or store the Seller's Seller Central password. The initial beta may use the minimum approved permissions needed to submit assigned MCF fulfillment orders and retrieve their status, shipment, tracking, carrier, estimated-delivery, fee, and supported return information. Seller instructs ZeeBooth to perform those enabled actions on Seller's behalf and remains responsible for reviewing orders, inventory, fees, restrictions, and results. Manual or CSV steps may remain available as a fallback. Amazon is independent, and ZeeBooth does not control Amazon inventory, warehouse or carrier choices, fees, packaging, delivery dates, outages, API behavior, or policies.

16. Amazon authorization and disconnection

Seller may grant only the permissions displayed during Amazon authorization and may disconnect the integration where supported. Disconnecting may stop new API activity but does not cancel orders already submitted or eliminate records that ZeeBooth must retain for fulfillment, returns, accounting, security, disputes, or law. Tokens and credentials are confidential and must not be shared through support messages or CSV files. Access may be suspended when authorization expires, Amazon revokes access, required roles are unavailable, or continued use would create a security or compliance risk.

17. Third-party services

Each connected service applies its own terms, policies, availability, and fees. Seller is responsible for maintaining authorized accounts and complying with applicable third-party terms. ZeeBooth will not use a connected account for unrelated activity or represent that Amazon endorses ZeeBooth.

18. Order assignment

ZeeBooth may assign or reassign orders. Seller must accept or reject within stated deadlines, maintain stock, fulfill only authorized orders, avoid unauthorized changes, meet handling commitments, and report tracking promptly.

19. Customer information

Seller may use customer information solely for fulfillment, delivery, approved returns, and transaction-related service. Seller must not sell it, add customers to marketing lists without valid consent, independently solicit them, or use it for unrelated purposes. Seller must use reasonable safeguards and follow applicable privacy and breach-notification law.

20. Shipping and tracking

Seller must timely provide or verify accurate shipment date, tracking number, carrier, tracking URL, quantities, and status for USPS, UPS, FedEx, Amazon Logistics, MCF, 3PL, or other carriers. Non-Amazon products must ship from the United States during this beta. False, recycled, premature, or misleading tracking or fulfillment-origin information is prohibited.

21. Returns and refunds

Seller must follow displayed return instructions and applicable customer rights for MCF and warehouse returns, labels, damaged or defective items, loss, refused delivery, restocking, reimbursement, and refund responsibility. ZeeBooth may issue required customer refunds or adjustments under applicable policy and allocate them under the financial arrangement.

22. Deposits, payments, and Seller balances

The Platform may record deposits, reserves, amounts payable, deductions, fulfillment expense, returns, chargebacks, refunds, lawful fees, reconciliation, and payment schedules. Records are operational ledgers and are not represented as bank accounts, escrow, insured deposits, or money-transmission services. Posted entries are corrected by adjustments or reversals. The payment architecture requires counsel and payments-regulatory review.

23. Taxes

Seller is responsible for its income, business, licensing, registration, reporting, and other tax obligations. Marketplace-facilitator collection depends on the state, channel, transaction, and parties' roles; ZeeBooth makes no universal representation that it collects or remits every tax.

24. Product safety and regulatory compliance

Seller must comply with applicable federal, state, and local product rules, including CPSC, FDA, FTC, FCC, EPA, labeling, hazardous-material, recall, Proposition 65, age-restriction, and product-specific requirements where applicable. ZeeBooth may request evidence, restrict distribution, or act on safety notices.

25. Prohibited products

Illegal, counterfeit, stolen, recalled, unsafe, infringing, or improperly disclosed hazardous goods; controlled substances; unlawful weapons; and regulated medical or other products with unmet requirements are prohibited. Channel-specific restrictions also apply. ZeeBooth may maintain and reasonably update a separate Restricted Products Policy.

26. Seller conduct

Seller must not commit fraud, manipulate records, submit fake tracking, circumvent controls, scrape contrary to authorization, access accounts without permission, transmit malicious code, disrupt infrastructure, use false identities, make misleading claims, abuse customers or personnel, or exploit vulnerabilities.

27. Limited non-circumvention

Seller may not use confidential customer or order information obtained solely through ZeeBooth to deliberately bypass ZeeBooth for the same transaction or a directly resulting transaction. This does not restrict lawful competition, independently developed relationships, or conduct that cannot lawfully be restrained.

28. Confidentiality

Each party must protect non-public pricing, source prices, algorithms, assignment methods, customer information, business processes, credentials, and trade secrets using reasonable care and use them only for the relationship. Duties exclude information lawfully public, previously known without restriction, independently developed, or rightfully received. Legally compelled disclosure is permitted after notice where lawful.

29. Account and API security

Seller must protect credentials, use strong passwords, maintain current contacts, limit access to authorized personnel, and promptly report suspected compromise. ZeeBooth may securely store authorization tokens, use short-lived access tokens, and maintain logs needed to operate and protect enabled integrations. ZeeBooth may suspend account or API access while investigating a security risk.

30. Platform availability

The Platform is subject to maintenance and technology dependencies. ZeeBooth does not guarantee uninterrupted or error-free access and is not responsible for delays caused by cloud, marketplace, Amazon, carrier, API, or synchronization outages beyond obligations that cannot be disclaimed.

31. Suspension and termination

ZeeBooth may restrict, suspend, or terminate access for infringement claims, fraud, excessive cancellations, invalid tracking, serious complaints, safety risk, nonpayment, unauthorized products, legal violations, API abuse, security threats, or material breach, with notice and cure where appropriate. Seller may close its account subject to pending orders, returns, disputes, and balances.

32. Effect of termination on Seller Content

The merchandising license ends when reasonably practicable after termination. ZeeBooth may retain and use Seller Content as reasonably needed for completed or pending orders, returns, refunds, accounting, compliance, disputes, fraud prevention, backups, archival records, and legal claims. Termination does not erase accrued obligations.

33. Records and audit

ZeeBooth may retain records of acceptance, uploads, assignments, fulfillment, tracking, returns, payments, complaints, and authorized API actions, and may reasonably verify Seller representations. Retention remains subject to applicable law and the Privacy Policy.

34. Disclaimers

TO THE EXTENT PERMITTED BY LAW, THE PLATFORM AND THIRD-PARTY SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE.' ZEEBOOTH DOES NOT GUARANTEE PRODUCT DEMAND, PLACEMENT, SALES, PROFIT, BUSINESS OUTCOMES, MARKETPLACE AVAILABILITY, OR CARRIER PERFORMANCE. NON-WAIVABLE WARRANTIES AND OBLIGATIONS ARE NOT DISCLAIMED.

35. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR LOST PROFITS. ZEEBOOTH'S AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF AMOUNTS PAID TO ZEEBOOTH BY SELLER IN THE SIX MONTHS BEFORE THE EVENT OR $500. Exclusions and carve-outs require attorney review.

36. Dispute resolution — attorney review required

The parties will first attempt good-faith negotiation, followed by [MEDIATION AND/OR BINDING ARBITRATION OPTION]. If arbitration is selected, it will use [RULES], occur in [ARBITRATION LOCATION], proceed individually where lawful, preserve eligible small-claims matters, and include any required opt-out. Otherwise, venue is the state and federal courts in [GOVERNING STATE]. No class waiver is effective where prohibited.

37. Governing law

The laws of [GOVERNING STATE], without regard to conflicts principles, govern except where federal or non-waivable law controls. Venue is as stated in the dispute provision.

38. Changes to Terms

ZeeBooth may amend these Terms prospectively. Material changes receive reasonable dashboard, email, or website notice and a revised effective date. Renewed affirmative consent will be obtained where legally required; otherwise continued use after effectiveness constitutes acceptance where permitted.

39. Notices and electronic communications

Seller consents to operational and legal communications through the dashboard, registered email, website notice, or another legally permissible electronic method. Seller must keep contact details current. Formal notices go to [CONTACT EMAIL] and [BUSINESS ADDRESS].

40. Independent businesses

Seller is an independent business and not ZeeBooth's employee, agent, franchisee, fiduciary, partner, or joint venturer. Neither party may bind the other except for the express listing and transaction authority granted here. Seller controls its personnel and obligations.

41. Assignment

Seller may not transfer its account or this Agreement without ZeeBooth's written consent. ZeeBooth may assign it in connection with a merger, acquisition, restructuring, financing, or sale of substantially related assets, subject to applicable law.

42. Severability

If a provision is unenforceable, it will be narrowed where lawful or severed without affecting the remainder.

43. Waiver

Failure to enforce a provision is not a waiver. A waiver must be explicit and is limited to its stated instance.

44. Entire Agreement

These Terms, the Privacy Policy, Seller Policies, applicable fee schedules, order terms, and expressly incorporated policies form the entire agreement about the Platform. A signed specific agreement controls only where it expressly says so.

45. Survival

Accrued payment duties, completed transactions, warranties for previously supplied products and content, confidentiality, indemnification, liability limits, dispute terms, and lawful record-retention rights survive termination as their nature requires.

Seller Authorization and Intellectual Property Certification

By submitting a seller application, I certify on behalf of the Seller that the Seller owns or has all necessary rights and permissions to sell submitted products and provide associated images, descriptions, trademarks, product information, and listing materials. I authorize ZeeBooth, subject to this Agreement, to publish, market, advertise, offer for sale, and use them across ZeeBooth-operated storefronts and approved sales channels. I understand approval is not ZeeBooth's independent verification of intellectual-property ownership and Seller remains responsible for third-party rights.
